1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and Folsom Holdings, LLC(“Folsom Holdings,” “we,” “us,” or “our”), the owner and operator of the Hessian Headless CMS service and the website at hessianheadless.com(together, the “Service”). By accessing or using the Service, or by creating an account, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Hessian Headless CMS is a headless content platform that lets you model, sign, and deliver structured documents with cryptographic provenance. We may add, change, or remove features over time. We may also offer some features only on certain paid plans.
3. Accounts
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials, API keys, and signing keys, and for all activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
4. Subscriptions, fees, and billing
The Service is offered on free and paid subscription plans. By selecting a paid plan, you authorize Folsom Holdings, LLC (or its payment processor) to charge the fees for that plan.
- Fees and billing cycle. Subscription fees are billed in advance on a recurring basis (for example, monthly or annually) as described at the time of purchase. Unless stated otherwise, fees are quoted in U.S. dollars and exclusive of taxes.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing cycle at the then-current rate until cancelled. You may cancel at any time, effective at the end of the current billing cycle.
- Cancellation and refunds. When you cancel, you retain access through the end of the paid period. Except where required by law, fees already paid are non-refundable and we do not provide refunds or credits for partial periods.
- Price changes. We may change subscription prices. We will give reasonable advance notice, and changes take effect on your next billing cycle.
- Taxes. You are responsible for any sales, use, value-added, or similar taxes, excluding taxes on our net income.
- Late or failed payment. If a charge fails or an account is past due, we may suspend or terminate access to paid features.
5. Your content
You retain all rights to the content, data, and documents you create, upload, or sign through the Service (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to operate and provide the Service. You are responsible for Your Content and for having the rights necessary to use it with the Service.
6. Acceptable use
You agree not to:
- use the Service to violate any law or infringe anyone’s rights;
- misrepresent the provenance, authorship, or authenticity of content, or use signing features to deceive;
- attempt to gain unauthorized access to the Service, other accounts, or related systems;
- interfere with or disrupt the integrity or performance of the Service, or reverse engineer it except as permitted by law;
- resell or provide the Service to third parties except as expressly permitted.
7. Intellectual property
The Service, including its software, design, and brand assets, is owned by Folsom Holdings, LLC and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. See our Legal page for copyright and trademark details.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that cryptographic verification will satisfy any particular legal or regulatory standard.
9. Limitation of liability
To the maximum extent permitted by law, Folsom Holdings, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Folsom Holdings, LLC and its officers, members, and employees from any claims, damages, or expenses arising out of Your Content or your breach of these Terms.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we discontinue the Service. On termination, your right to use the Service ends, though provisions that by their nature should survive (such as payment obligations, disclaimers, and limitations of liability) will survive.
12. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date). Your continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Maine, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Maine for any dispute that is not subject to other agreed dispute resolution.
